Senior Legal Counsel

**About the Opportunity** We are seeking for a Senior Legal Counsel, to be based in Brazil (Rio de Janeiro or São Paulo), that will be responsible for providing senior legal support to the Company’s business, with a primary focus on the negotiation of strategic and financial agreements, the Company’s B2B products and cross\-border operations, as well as corporate and governance matters. The role will act as a trusted legal partner to the business areas, assessing legal risks and acting proactively to enable business, including in the structuring of new products and in addressing the demands of external and internal clients. In addition, the role will coordinate external law firms and key stakeholders on domestic and international matters, ensuring quality, consistency and cost\-efficiency of the legal support provided to the Group. **Key Responsibilities:** * Support the negotiation of strategic and financial agreements, including those related to the Company’s B2B products and cross\-border operations, assessing legal risks and acting proactively to enable business; * Draft, review and negotiate complex commercial and financial agreements, ensuring adequate risk allocation and alignment with the Company’s policies and commercial objectives; * Advise on corporate and governance matters, including corporate documentation, internal governance structures and decision\-making processes; * Provide strategic legal advice to the business areas on the structuring of new products and on the demands of external and internal clients; * Coordinate external law firms and key stakeholders on domestic and international matters, overseeing scope, deliverables, timelines and fees; * Contribute to the continuous improvement of legal processes, contract templates and internal guidelines, and support the Legal Manager on cross\-functional legal initiatives. **Qualifications:** * Mandatory Law degree plus postgraduate degree in Corporate Law, Contract Law, Banking/Financial Law or related fields (desirable); * Minimum 5 years years of experience: * Advanced/Fluent English (mandatory) / Intermediate/Advanced Spanish (desirable); * Solid experience in corporate law and in the negotiation of complex and strategic agreements; * Active registration with the Brazilian Bar Association (OAB); * At least 5 years of solid legal practice, either in\-house or in top\-tier law firms, preferably in the fintech and/or financial markets sector; * Strong autonomy and technical command in the negotiation of complex and strategic agreements; * Prior professional experience in corporate law; * Prior participation in M\&A transactions (desirable); * Prior experience in publicly listed companies, or in listed or regulated companies in the financial or fintech sector (desirable); * Working knowledge of corporate law, financial agreements, the fintech sector and procurement (desirable).
